Terms of Service

Effective date: 2026-08-30. These terms govern your use of oernings.com and the oernings service (the "Service"), operated by Ömer Kaya (see Imprint). By creating an account or subscribing, you agree to these terms.

1. The Service

oernings monitors SEC filings for US-listed companies and uses AI to generate structured summaries and interpretations of publicly available filing text. The Service is an informational research tool for retail investors.

Not financial advice. Nothing on oernings — including AI-generated summaries, sentiment badges, or any other content — constitutes investment, legal, or tax advice, or a recommendation to buy, sell, or hold any security. AI-generated interpretations may contain errors or omissions and should not be relied upon as the sole basis for any investment decision. You are solely responsible for your own investment decisions.

2. Account Registration

You must provide a valid email address and keep your login credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

3. Subscription Plans, Pricing & Payment

Current plans and prices are listed on our Pricing page. Paid subscriptions are billed in advance on a recurring monthly or annual basis until cancelled.

Paddle as Merchant of Record. All payments are processed by Paddle.com Market Ltd ("Paddle"), which acts as the merchant of record and seller of the subscription to you. Paddle handles billing, invoicing, and applicable sales tax/VAT for your country. Your contract for payment is with Paddle; your contract for the Service itself is with us.

4. Free Trial

The Bud Fox plan may be offered with a 21-day free trial, no payment card required. If you add a payment method during the trial (or the trial simply runs its course with a card on file), you will be automatically charged for the plan at the end of the trial unless you cancel before it ends. Each account is entitled to one free trial.

5. Cancellation & Termination

You can cancel your subscription at any time from Settings → Billing. Cancellation stops future renewals; you keep access to your plan's features until the end of the billing period you have already paid for. We do not provide partial refunds for unused time in the current period, except as required by the statutory withdrawal right below.

Switching between tiers, or between monthly and annual billing, is done by cancelling your current plan and subscribing to the new one from the Pricing page — see Pricing and the Refund & Cancellation Policy for the mechanics and trade-offs. We may suspend or terminate your account for violation of these terms, non-payment, or fraudulent use.

6. Your Right of Withdrawal (EU/EEA Consumers)

If you are a consumer resident in the EU/EEA, you generally have a 14-day right to withdraw from a distance contract without giving a reason. Because oernings is digital content/a digital service supplied immediately, this right ends early once performance has begun with your express consent and acknowledgment that you thereby lose the right of withdrawal (§ 356 (5) BGB / Art. 16(m) of the EU Consumer Rights Directive). Paddle, as merchant of record, captures this consent as part of its checkout flow at the point of purchase. 7. Availability & Changes to the Service

We aim for high availability but do not guarantee uninterrupted or error-free operation. Data feeds (SEC EDGAR, stock prices, AI-generated content) depend on third-party sources that may be delayed, incomplete, or temporarily unavailable. We may add, change, or remove features at any time; material reductions in paid-tier functionality will be communicated in advance where reasonably possible.

8. Intellectual Property

The Service, including its software, design, and AI-generated summaries, is our property or licensed to us. You may use it only for your own personal, non-commercial investment research. You may not resell, scrape, or redistribute Service content in bulk. Underlying SEC filings remain public-domain government records.

9. Limitation of Liability

To the extent permitted by law, we are liable without limitation only for damages caused by intent or gross negligence, and for injury to life, body, or health. For ordinary negligence, we are liable only for breach of a material contractual obligation (Kardinalpflicht), and only up to the loss typically foreseeable at the time the contract was concluded. We are not liable for investment losses resulting from decisions made using information on the Service.

10. Data Protection

Our processing of your personal data is described in our Privacy Policy.

11. Changes to these Terms

We may update these terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.

12. Governing Law & Jurisdiction

These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, mandatory consumer-protection provisions of your country of habitual residence remain unaffected. Where legally permissible, the courts of Offenbach am Main, Germany have exclusive jurisdiction.

13. Severability

If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
